1. SCOPE OF AGREEMENT

This Terms of Use Agreement (“Agreement”) governs your use of the www.DMEC.org website and all other DMEC owned or controlled websites (collectively, “DMEC Websites”), as well as all information, content, products, materials, and services made available to you through these sites by us and/or third parties (“Services”). By accessing or using any part of the Services, you agree to be bound by this Agreement. If you do not agree to all the terms and conditions of this Agreement, you should not access or use the Services. Use of the Services includes accessing, browsing, or registering to use our Sites.

When we refer to the “use” of the Services in this Agreement, we mean any actual or attempted access or use of the Services, including, without limitation, any transmission, exchange of information or communication associated with the Services. These terms and conditions, together with any other terms of use applicable to other DMEC owned or controlled websites, as specifically noted on such sites, and any other policies, rules and provisions which are described, linked or otherwise referred to and form a part of this Agreement, including, without limitation our Privacy Policy at https://dmec.org/privacy-policy, constitute the entire agreement between you and us, superseding any and all prior or inconsistent understandings, representations or agreements regarding the Services.

2. CHANGES TO THIS AGREEMENT

We may modify this Agreement at any time to reflect changes to our Services or needs. Any changes will be posted on our site along with an updated revision date. We may also provide additional notification, such as via email. By continuing to use the Services after these changes are made, you agree to the revised Agreement. If you do not agree to the new terms, please stop using the Services. New features or tools added to the current Services shall also be subject to the Agreement.

3. INFORMATION AND PASSWORDS

When you use our Services, you may be required to provide information about yourself including your name, contact details, and payment information. You agree to provide us with accurate, complete, and updated information. You are also responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. We encourage you to use “strong” passwords (passwords that use a combination of upper and lower case letters, numbers and symbols) with your account.

Certain features and functions of the Services are not generally available to the public. In order to access and use such features and functions, we may require you to enter your email and password (IDs). Third parties may also, from time to time, provide you with additional codes or passwords necessary to perform certain transactions or otherwise access the Services.

4. USE OF SERVICES

The Services should be used for your personal, non-commercial use only. You agree not to misuse the Services (for example, by hacking, introducing viruses, or conducting any behavior that would constitute a criminal offense or give rise to civil liability). Use of the Services for any illegal or unauthorized purpose is strictly prohibited.

You may not use or allow others to use, your IDs and/or the Services, directly or indirectly, nor upload, distribute, transmit, communicate, link to, publish or access any data, information or material through, using or otherwise in connection with the Services, that: (a) is libelous, defamatory, vulgar or obscene, pornographic, sexually offensive or explicit, harmful or harassing, threatening, hateful, racially, culturally, ethnically or otherwise objectionable or offensive, discriminatory or abusive; (b) violates any law or regulation or the rights of others; (c) causes duress, distress or discomfort to another or is likely to deter or discourage others from using the Services; and/or (d) infringes any intellectual property, privacy or proprietary rights or confidentiality obligations of others. You are solely responsible and liable for any such activity, behavior, use and conduct. We have no liability and you bear the sole and exclusive risk associated with use of or reliance on the accuracy, quality, completeness, reliability or usefulness of any data, information or material in connection with your IDs.

5. INTERACTIVE SERVICES

Our Services may include interactive features such as discussion forums and feedback mechanisms. When participating in such features, you are contributing to a community that values respect and the sharing of knowledge. Please act with respect for other users. While we do not routinely monitor the content posted by users, we reserve the right to remove content that we determine to be offensive or otherwise in violation of this Agreement.

6. PURCHASING TERMS

All purchases through our sites or other transactions for the sale of goods, services, or information formed through the Sites or as a result of visits made by you are governed by this Agreement. We may make changes to product descriptions and availability at any time. Additionally, all purchases are subject to our return policy.

We also reserve the right to refuse or cancel orders placed for products and services. Errors in the description, pricing, or availability of a product or service may lead to order cancellation at any stage of the transaction, including after order confirmation and payment. If we cancel your order after your payment method has been charged, we will issue a refund to your account in the amount of the charge.

Automatic Renewals

DMEC memberships are subject to automatic renewal, and by purchasing a DMEC membership, you agree that on your membership renewal date, DMEC will charge an annual membership fee to your selected payment method at the then-current annual membership rate, without further authorization from you, until you opt out of autorenewals. You accept responsibility for all recurring charges prior to opting out, including, where applicable, any charges processed by DMEC after the expiration date of your payment card.

You will receive an email reminder 30 days before your renewal date. You can opt out of automatic renewals at any time up until 24 hours prior to your renewal date.

Please be aware that when you make a purchase, you may be subject to applicable taxes and shipping fees which will be specified during the checkout process. For international purchases, you are responsible for any customs duties, taxes, or other regulatory charges assessed by your government.

Finally, be mindful that products purchased through the DMEC Websites are intended for personal use within your affiliated organization and not for resale. We strictly prohibit the purchase of products for resale purposes, and such actions may result in limitations on your buying privileges or suspension of your account.

7. COMPLIANCE WITH LAWS

You agree to comply with all local, national, and international laws and regulations applicable to your use of the Services, including privacy laws and intellectual property laws. 

8. INTELLECTUAL PROPERTY

You acknowledge that all materials provided on the Services, including but not limited to information, documents, products, logos, graphics, sounds, images, software, and services, are provided either by DMEC or by their respective third party authors, developers, and vendors and the underlying intellectual property rights are owned by DMEC and/or its licensors and authors. You agree not to copy, reproduce, modify, lease, loan, sell, create derivative works from, upload, transmit, or distribute the intellectual property of the Services in any way without our or the appropriate third party’s prior written permission.

9. DISCLAIMERS AND LIMITATION OF LIABILITY

The Services are provided on an “as is” and “as available” basis. DMEC expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose, and non-infringement. DMEC makes no warranty that the Services will meet your requirements, will be uninterrupted, timely, secure, or error-free, or that the results that may be obtained from the use of the Services will be accurate or reliable.

10. GOVERNING LAW AND JURISDICTION

This Agreement shall be governed by and construed in accordance with the laws of the jurisdiction in which DMEC is located, without giving effect to any principles of conflicts of law. You agree that any action at law or in equity arising out of or relating to these terms shall be filed only in the state or federal courts located in DMEC’s jurisdiction and you hereby consent and submit to the personal jurisdiction of such courts for the purposes of litigating any such action.

11. GENERAL

This Agreement constitutes the entire agreement between you and DMEC regarding the use of the Services and supersedes all prior and contemporaneous agreements, representations, and understandings between us. No waiver of any provision of this Agreement shall be deemed a further or continuing waiver of such term or any other term, and DMEC’s failure to assert any right or provision under this Agreement shall not constitute a waiver of such right or provision.
